Terms of Service
Please read these Terms of Service ("Terms") carefully before using the Luxorae platform. By creating an account or using any part of the service, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Agreement and Parties
These Terms of Service constitute a legally binding agreement between:
- Luxorae ("Luxorae", "we", "our", or "us") — a technology company incorporated and operating in Dubai, United Arab Emirates, reachable at support@luxorae.ae; and
- You — the business entity or individual accessing or using the Luxorae Platform ("User", "you", or "your").
If you are accepting these Terms on behalf of a business, you represent and warrant that you have full authority to bind that business to these Terms.
These Terms are governed by the laws of the United Arab Emirates. By using the Platform you also agree to our Privacy Policy, which is incorporated into these Terms by reference.
2. Description of the Service
Luxorae provides a cloud-based, AI-powered social media management platform ("Platform" or "Service") designed for businesses operating in the UAE. The Platform includes, but is not limited to, the following features:
- AI Content Generation: Automated creation of social media captions, posts, and reel scripts using artificial intelligence, tailored to your business type and brand voice.
- Social Media Scheduling and Publishing: Scheduling and automated publishing of posts, reels, and stories to Instagram Business Accounts and Facebook Pages connected to your account.
- Analytics and Insights: Dashboards displaying performance metrics for your published content, retrieved via the Instagram Graph API and Facebook API.
- Content Management: Storage, organisation, and management of your content library within the Platform.
- Multi-location and Multi-account Management: (Available on applicable plans) Management of multiple business profiles from a single dashboard.
We reserve the right to add, modify, or discontinue features of the Service at any time, subject to Section 15 of these Terms.
3. Eligibility
To use the Luxorae Platform, you must:
- Be a business entity registered in the UAE, or an authorised representative of such an entity;
- Be at least 18 years of age;
- Have the legal authority to enter into a binding agreement;
- Hold a valid and active Instagram Business Account and/or Facebook Page that complies with Meta's terms of service;
- Not be prohibited from receiving services under UAE law or international sanctions.
The Platform is intended for commercial use by businesses in the UAE including, but not limited to, retail stores, salons, gyms, spas, restaurants, and automobile dealerships. Individual consumer use is not the intended use case.
4. Account Registration
4.1 Account Creation
You must create an account to access the Platform. During registration you agree to provide accurate, current, and complete information and to keep that information up to date. Providing false information is grounds for immediate account termination.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:
- Use a strong, unique password and keep it confidential;
- Notify us immediately at support@luxorae.ae if you suspect unauthorised access to your account;
- Not share your account credentials with third parties outside your organisation.
Luxorae is not liable for losses arising from unauthorised use of your account where such use resulted from your failure to maintain credential security.
4.3 One Account Per Business Profile
Each subscription grants access to one primary business profile. Additional profiles or locations may be added in accordance with your subscription plan's limits. You may not create multiple accounts to circumvent plan limitations.
5. Acceptable Use
5.1 Permitted Use
You may use the Platform solely for lawful business purposes in accordance with these Terms, applicable UAE laws, and the platform policies of Meta (Instagram and Facebook).
5.2 Prohibited Conduct
You must not use the Platform to:
- Publish content that is unlawful, defamatory, obscene, threatening, or fraudulent under UAE law;
- Publish content that violates Islamic values, public morality, or the social order of the UAE, as defined under applicable UAE legislation;
- Infringe the intellectual property rights, privacy rights, or personality rights of any third party;
- Distribute spam, unsolicited commercial communications, or manipulate engagement metrics (e.g., buying followers or likes);
- Publish content that promotes illegal products, services, or activities;
- Publish misinformation, disinformation, or false advertising;
- Attempt to gain unauthorised access to the Platform, other user accounts, or our underlying systems;
- Reverse-engineer, decompile, or disassemble any part of the Platform;
- Use automated bots, scrapers, or other tools to extract data from the Platform beyond our documented API;
- Use the Platform in a manner that violates Meta's Terms of Service, Platform Policy, or Community Standards;
- Resell, sublicense, or otherwise commercialise access to the Platform without our prior written consent;
- Overload, disrupt, or impair the performance of the Platform or its infrastructure.
Violation of this section may result in immediate suspension or termination of your account without refund.
6. Subscription Plans and Payment
6.1 Subscription Plans
Access to the Platform requires a paid subscription. Luxorae offers multiple subscription tiers, each with defined feature sets and usage quotas (e.g., number of posts per month, connected accounts, AI generation limits). The details of available plans are published on our website at luxorae.ae and may be updated from time to time.
6.2 Billing and Payment
- Subscriptions are billed on a recurring basis (monthly or annually, depending on your chosen plan) in advance.
- Payment is processed securely by our payment provider. By subscribing you authorise us to charge your nominated payment method on the applicable billing cycle.
- All prices are displayed in UAE Dirhams (AED) and are exclusive of VAT unless otherwise stated. VAT will be applied where applicable under UAE tax law.
- Failed payments may result in service suspension. We will notify you of a failed payment and allow a reasonable cure period before suspension.
6.3 Plan Changes
You may upgrade your plan at any time; the upgrade takes effect immediately and you will be charged a pro-rated amount for the remainder of the billing period. Downgrades take effect at the start of the next billing cycle.
6.4 Refund Policy
Subscription fees are generally non-refundable. Exceptions may be granted at Luxorae's sole discretion in cases of technical failure attributable to Luxorae that materially impairs service for a sustained period. Any refund requests must be submitted to support@luxorae.ae within 14 days of the charge in question.
6.5 Free Trials
Where we offer a free trial, no charge is made during the trial period. At the end of the trial, your account will convert to the selected paid plan and you will be charged unless you cancel before the trial expires. We will provide clear notice of the trial end date.
6.6 Price Changes
We reserve the right to modify subscription prices. We will give you at least 30 days' written notice of any price increase. Continued use of the Platform after the effective date of the price change constitutes your acceptance of the new price.
7. Instagram and Facebook API Usage
7.1 Your Authorisation
By connecting your Instagram Business Account and/or Facebook Page to the Platform, you expressly authorise Luxorae to:
- Access your Instagram and Facebook accounts via Meta's APIs using OAuth tokens you grant;
- Publish posts, reels, stories, and other content to your Instagram and Facebook accounts on your behalf, including at scheduled times;
- Retrieve account information, follower metrics, post insights, and engagement data from your accounts for display within the Platform;
- Store OAuth access tokens securely in order to perform the above actions without requiring you to re-authenticate each time.
7.2 Your Responsibility for Connected Accounts
You represent and warrant that:
- You are the owner or an authorised administrator of any Instagram or Facebook account you connect;
- You have all necessary rights and permissions to publish the content you submit to the Platform;
- You will ensure that all content published through Luxorae complies with Meta's Terms of Service, Community Standards, and Advertising Policies.
Luxorae is not responsible for any suspension, restriction, or removal of your Instagram or Facebook account by Meta, including where such action results from content published through our Platform.
7.3 Compliance with Meta Policies
Our integration with Instagram and Facebook is subject to and governed by Meta's Platform Terms and Developer Policies. We may be required to modify or discontinue our Meta API integration if Meta changes its policies. We are not liable for interruptions to publishing functionality arising from Meta's policy changes, API modifications, or decisions by Meta to restrict our Platform access.
7.4 Revoking Access
You may revoke Luxorae's access to your Instagram or Facebook account at any time by:
- Disconnecting the account within the Luxorae Platform dashboard; or
- Revoking app permissions directly through your Facebook Settings > Apps and Websites.
Revoking access will stop all automated publishing. Stored tokens will be deleted within 30 days of disconnection. Your data deletion rights are further described in our Data Deletion Policy.
8. Intellectual Property
8.1 Luxorae Intellectual Property
The Luxorae Platform — including its software, code, algorithms, user interface, design, trademarks, service marks, logos, and all related documentation — is owned by or licensed to Luxorae and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Luxorae's intellectual property except the limited right to use the Service as described herein.
You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse-engineer or attempt to extract the source code of our software.
8.2 Your Content
You retain full ownership of all content you upload to, create through, or publish using the Platform ("Your Content"), including images, videos, captions, brand assets, and business information.
By using the Platform, you grant Luxorae a limited, non-exclusive, royalty-free, worldwide licence to host, store, reproduce, transmit, and process Your Content solely for the purpose of providing the Service to you. This licence terminates when you delete your content or close your account (subject to retention periods required by law).
Luxorae does not claim ownership of Your Content and will not use it to train AI models or for any purpose beyond operating the Service.
8.3 AI-Generated Output
Content generated by the AI features of the Platform based on your inputs is provided for your use. To the extent permitted by applicable law, you are granted the right to use, publish, and adapt such generated content for your business purposes. You acknowledge that AI-generated content may not be eligible for copyright protection in all jurisdictions. You are responsible for reviewing AI-generated content before publishing.
8.4 Feedback
If you submit feedback, suggestions, or ideas about the Platform, you grant Luxorae a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.
9. AI-Generated Content
The Platform uses artificial intelligence models from third-party providers (including OpenAI and Anthropic) to generate content. You acknowledge and agree that:
- AI-generated content is provided "as generated" and may not always be accurate, culturally appropriate, or suited to your specific requirements;
- You are solely responsible for reviewing, editing, approving, and publishing any AI-generated content. Luxorae is not liable for content you publish without adequate review;
- AI systems may occasionally generate output that is repetitive, generic, or unexpected. You should apply your own editorial judgement;
- You must not use the AI features to generate content that violates these Terms, UAE law, or Meta's policies;
- The AI features are subject to usage limits defined in your subscription plan.
10. Data and Privacy
Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (UAE PDPL). The Privacy Policy is incorporated into these Terms by reference.
By using the Platform, you consent to the data practices described in our Privacy Policy. If you do not agree with our data practices, you must not use the Platform.
11. Warranties and Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, LUXORAE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, Luxorae does not warrant that:
- The Platform will operate without interruption, error, or defect;
- The Platform will be secure or free from viruses or other harmful components;
- Results obtained from use of the Platform (including AI-generated content) will be accurate, complete, or suitable for your purposes;
- Any errors or defects will be corrected within a specific timeframe;
- The Platform will be compatible with all devices, browsers, or third-party services.
Luxorae makes no warranty regarding the continuous availability of Meta's Instagram and Facebook APIs, which are operated and controlled entirely by Meta Platforms, Inc.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UAE LAW, IN NO EVENT SHALL LUXORAE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.
In any event, Luxorae's total cumulative liability to you for any claims arising out of or relating to these Terms or the Platform shall not exceed the total subscription fees paid by you to Luxorae in the three (3) months immediately preceding the event giving rise to the claim.
The limitations in this section apply regardless of whether Luxorae has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Luxorae is not liable for any consequences arising from Meta's decisions to restrict, suspend, or modify access to Instagram or Facebook, including any resulting inability to publish content through the Platform.
13. Indemnification
You agree to indemnify, defend, and hold harmless Luxorae and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform in violation of these Terms or applicable law;
- Your Content, including any claim that Your Content infringes a third party's intellectual property, privacy, or other rights;
- Content you publish through the Platform that violates UAE law or Meta's policies;
- Any misrepresentation made by you in connection with your account registration or use of the Service;
- Your violation of any third party's rights.
14. Suspension and Termination
14.1 Termination by You
You may cancel your subscription at any time through your account settings or by contacting support@luxorae.ae. Cancellation takes effect at the end of the current billing period. No refunds are issued for the remainder of a prepaid period unless otherwise required by UAE consumer protection law.
14.2 Suspension or Termination by Luxorae
Luxorae may suspend or terminate your account, with or without prior notice, if:
- You breach any provision of these Terms;
- You fail to pay subscription fees when due;
- We are required to do so by law, a competent authority, or a court order;
- Your account is implicated in fraud, abuse, or illegal activity;
- Continued operation of your account poses a risk to the security or integrity of the Platform or other users;
- Meta requires us to suspend or terminate access due to a violation of their policies.
For non-urgent breaches, we will generally provide 7 days' notice and an opportunity to cure before termination.
14.3 Effect of Termination
Upon termination of your account:
- Your right to access the Platform ceases immediately;
- We will retain your data for the periods specified in our Privacy Policy and then delete it;
- You may request an export of Your Content within 30 days of termination by contacting support@luxorae.ae;
- Clauses that by their nature should survive termination (including Sections 8, 12, 13, 16, 17, and 18) shall continue to apply.
14.4 Discontinuation of Service
Luxorae reserves the right to discontinue the Platform entirely with at least 60 days' written notice to all active subscribers. In such event, pro-rated refunds for unused prepaid subscription periods will be issued.
15. Modifications to the Service and Terms
15.1 Modifications to the Service
Luxorae may add, modify, or remove features from the Platform at any time. For material changes that significantly reduce the functionality you rely upon, we will provide at least 14 days' advance notice via email or in-Platform notification. We are not liable for modifications resulting from third-party policy changes (e.g., Meta API changes).
15.2 Modifications to These Terms
We may update these Terms from time to time. When we do so, we will:
- Update the "Last updated" date at the top of this page;
- Notify you via email and/or in-Platform notification at least 14 days before the changes take effect.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree, you must stop using the Platform and cancel your subscription before the effective date.
16. Dispute Resolution
16.1 Good Faith Negotiation
Before initiating any formal legal proceedings, you agree to contact Luxorae at support@luxorae.ae to describe your dispute and attempt to resolve it through good faith negotiation. We will endeavour to respond within 10 business days.
16.2 Formal Proceedings
If a dispute cannot be resolved through negotiation within 30 days of the initial notification, either party may refer the matter to the competent courts of Dubai, UAE, as set out in Section 17.
17. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, including but not limited to the UAE Federal Law No. 2 of 2015 on Commercial Companies, Federal Decree-Law No. 45 of 2021 on Personal Data Protection, and any other applicable UAE federal legislation.
Any dispute, controversy, or claim arising out of or in connection with these Terms — including any question regarding its existence, validity, or termination — shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
If you access the Platform from outside the UAE, you do so at your own risk and are responsible for compliance with local laws to the extent they apply.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable subscription order form or plan description, constitute the entire agreement between you and Luxorae with respect to the Platform and supersede all prior agreements and understandings.
18.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Luxorae.
18.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Luxorae may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, with notice to you.
18.5 Force Majeure
Luxorae shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, acts of government, power failures, internet disruptions, or changes to Meta's API availability.
18.6 Language
These Terms are provided in the English language. In the event of any conflict between an English version and a translated version, the English version shall prevail.
18.7 Notices
We may send notices to you at the email address associated with your account. You may send notices to us at support@luxorae.ae. Notices are deemed given when delivered by email, provided no delivery failure notification is received.
